By scheduling an LLC Setup Call with The Hart Law Firm, PA aka Hawthorn Law®, you are agreeing to the following terms and conditions:
Limited Scope of Service. This engagement is limited to setting up an LLC for your business. We will not provide any legal advice on this call. This representation will terminate automatically when call is complete. If you decide to engage this office for additional legal services, you will be required to sign a new Engagement Letter & Fee Agreement concerning those services.
LLC Setup and Consultation Fee. We charge a flat fee of $1,500 (not including filing fees or registered agent fees) to set up a single LLC in one state. If you need us to set up more than one LLC, then a separate fee will apply. This fee must be paid in advance and constitutes full payment for the set-up of the LLC. This fee is fully earned upon receipt, subject to the cancellation and refund policy set forth below. You may cancel the set up call (thereby terminating any relationship with this office) for any reason, and we may also cancel the set up call for any reason. You may be entitled to a refund of all or a portion of the consultation fee if the consultation is not provided, subject to the cancellation and refund policy below. Once we have filed your LLC, the fee becomes non-refundable.
Services included in the fee. In addition to drafting and filing the Articles of Organization in the state of your choosing, you will also receive one-year of Registered Agent Service for free. We will also file your BOI report for you with FinCEN. Registered agent services will renew at the then existing rates after one year unless you notify us ahead of time that you wish to cancel. In addition, we will obtain your EIN number for your LLC and provide you with a template operating agreement.
Services not included in the fee. State filing fees, publication fees, newspaper fees, initial reporting fees, and any other fees that may vary by state are not included in the price of this service. You will be notified what additional fees may be due and will be responsible for paying those fees at the time of the call.
Advisory for NY LLC's. The State of New York requires publication in a newspaper as part of the LLC set-up process. The newspaper fees vary depending on what county you live in, but can be substantial.
Cancellations, No-Shows, & Refunds. If you need to cancel or reschedule your set up call, please do so at least 24 hours in advance. Cancellations with at least 24-hours notice will receive a full refund. Any set up call that is not started within 15 minutes of the scheduled start time will be considered a no-show. Cancellations with less than 24-hours notice and no-shows will receive a refund of the amount paid less 50%, which you agree is the fee earned by this office for preparation for the LLC Setup call, reserving our time, and preparing the initial documents in preparation for the call. You will receive a full refund if we cancel the set up call.
Late Fees. Any past due balances will accrue interest at a rate of 1.5% per month.
Venue. Any disputes regarding the LLC setup service will be heard in Wake County, North Carolina.
